The Governor and Executive Council convened at 10:30 a.m. with all members present.

The Governor and Executive Council, on motion of Councilor Burtion, seconded by Councilor Spaulding, accepted the minutes of special meeting of 11-12-02 and 11-19-02.

The Governor and Executive Council, on motion of Councilor Wheeler, seconded by Councilor Burton, accepted the minutes of November 13, 2002.

The Governor and Executive Council, on motion of Councilor Griffin, seconded by Councilor Burton, confirmed the appointment of several persons nominated for Civil Commissions from November 13, 2002 meeting.

The Governor and Council acted as follows:

#1 Authorized to amend Memorandum of Agreement with the Department of Environmental Services (previously approved at G&C on 3-14-01, item #112 and amended 2-20-02 item #5), changing the end date from December 31, 2002 to June 30, 2003 and modifying the reporting requirements for purposes as detailed. No additional funding.

#1A Authorized to amend an existing Agreement with the City of Portsmouth, NH, (previously approved by G&C on7-25-01, item #9), for the purpose of extending the end date from December 31, 2002 to March 31, 2003 in order to allow the City additional time needed to thoroughly review work products.

#1B Authorized to enter into an Agreement with the City of Dover, NH, to evaluate traffic circulation patterns in the downtown core and to examine the reuse of the city's 33-acre waterfront property, under the provisions of the NH Coastal Program, in the amount of $25,000. Effective upon G&C approval to December 31, 2003.

#1C Authorized to enter into an Agreement with the Audubon Society of NH, Concord, NH, to protect, manage, and enhance the breeding population of common and roseate terns on White and Seavey Islands, under the provisions of the NH Coastal Program, in the amount of $23,780. Effective upon G&C approval to December 31, 2003.

#1D Authorizedd to accept and expend $15,000.00 in donations from the North Atlantic Energy Service Corporation, Seabrook, NH. Effective upon G&C approval. The budget is adjusted as detailed in item.

#1E Authorized to amend an existing agreement with the Town of Exeter, NH, (previously approved by G&C on 3-6-02, item #3), for the purpose of extending the agreement end date from December 31, 2002 to June 30, 2003 due to inclement weather events and scheduling conflicts.

#2 Authorized to pay $10,750 to the United States Geological Survey, Pembroke, NH to undertake the first phase of a Southeastern NH Groundwater resource study.

#3 Authorized to amend Memorandum of Agreement with the University of NH (previously approved at G&C on 2-20-02, item #7, amended 6-26-02, item #27) to extend end date from December 31, 2002 to June 30, 2003 to continue necessary Sampling and field activity in the spring of 2003. No additional funding.

#4 Authorized to amend Memorandum of Agreement with University of NH, Cooperative Extension Sea Grant Program, Durham, NH. (previously approved at G&C on 5-9-01, item #4), to extend the agreement end date from December 31, 2002 to June 30, 2003 due to inclement weather and scheduling conflicts. No additional funding. TREASURY DEPARTMENT The Governor and Council acted as follows:

#5 Authorized to amend Investment Management Agreement between Higher Education Savings Plan Trust and Strategic Advisers Inc. d/b/a Fidelity Strategic Advisers, effective upon G&C approval to change the pricing structure of the A, B and C units of the eight age-based and two static portfolios of the Fidelity Advisor 529 Plan.

#6 Authorized to issue a warrant and the State Treasurer to issue checks in the amount totaling 14,798.05. Warrant should be issued to and checks paid from account #010-038-1057-091.

#7 Authorized approval to transfer $2,851,426.08 with Special General Fund Distributions Account to adjust budget as detailed in item letter. Fiscal Committee approved. OFFICE OF THE ADJUTANT GENERAL The Governor and Council acted as follows:

#8 Authorized Captain Paul E Lang be confirmed to the rank of Major, NH Army National Guard.

#9 Authorized Captain Jonathan B Slater be confirmed to the rank of Major, NH Army National Guard.

#10 Authorized Major Walter H Debany be confirmed to the rank of Lieutenant Colonel, NH Army National Guard.

#11 Authorized Major Jeanne M Williams be nominated for rank of Lieutenant Colonel, NH Air National Guard. The position is vacant and the officer meets all prerequisites. GOVERNOR'S OFFICE OF ENERGY AND COMMUNITY SERVICES The Governor and Council acted as follows:

#11A Authorized to retroactively amend contract with Graphic Details Inc, Portsmouth, NH, (previously approved by G&C on 7-10-02, item #13), extending the contract period to December 31, 2002, for graphic design services and to include $3,000 in additional funds.

#11B Authorized to enter into a contract with Bernard R Davis, Contoocook, NH, to function as High Performance Schools Circuit Rider in the Rebuild NH program, in an amount not to exceed $25,000. Effective upon G&C approval through June 30, 2004.

DEPARTMENT OF ADMINISTRATIVE SERVICES

The Governor and Council acted as follows:

#12 Authorized list of agency transfers Authorizedd for Fiscal Year 2003 during the month October

#12A Authorized Bureau of Court Facilities to pay invoice from the City of Laconia, NH, for one half of the cost to repair the boiler at the Laconia District Court, at a total of $2,875.

#12B Authorized Department of Treasury to enter into a sole source contract with Bottomline Technologies Inc, Portsmouth, NH, for the purpose of purchasing three software modules and the associated services to implement electronic vendor payments , in the amount of $73,700. Effective upon G&C approval through December 31, 2003.

#12C Authorized to enter into a statewide contract with Legal Files Inc, Springfield, Il, for software licensing, maintenance support, training and installation services for legal case management solutions. Effective upon G&C approval through June 30, 2008, including an initial active term of 13 months, until December 31, 2004, with options to renew in annual increments up to an additional four years, at the discretion of the State.

#13 Authorized Bureau of Purchase and Property to enter into statewide agreements with vendors listed in ATTACHMENT A, effective upon G&C approval. #59 Authorized to issue the attached supplement Loan Agreement between the Department of Environmental Services and the Town of Newport to amend the Original Loan Agreement amount of $30,000 (previously approved by G&C on 3-28-01, item #75) in the Principal amount of $23,500. This amendment reduces the amount by $6,500. The Town of Newport will pay back the principal sum of $23,000 with interest, payable in annual installments as provided in the agreement over a five year period. The loan will be issued under the State Revolving Fund Program for the purpose of financing the design of the reconstruction of the South Main St sewer.

#60 Authorized to enter into a Memorandum of Agreement with the NH Department of Environmental Services for the purpose of carrying out activities under the provisions of the NH Estuaries Project, in the amount of $65,061. #94 Authorized to enter into a 5-year lease agreement with Eula C Mitchell of Woodsville, NH, for a portion of real property with right of way to Ayers Mountain with option to renew for five additional terms of five years, for $500.00 per month for the first year with a 3% rate increase each year for the remaining four years as detailed in item. Effective January 1, 2003 through December 31, 2007.

#95 Authorized approval to purchase an existing Tower Lease from American Tower, L.P., Boston, MA. This lease includes the Mitchell Hill site and all improvements of Ayers Mountain in Haverhill, NH, in the amount of $80,000.00. Effective upon G&C approval through June 30, 2003.

#96 Authorized Division of Fire Safety/Office of Emergency Management to enter into a Memorandum of Understanding with the NH Department of Environmental Services for the purpose of enhancing precipitation, temperature, wind and/or other existing fire towers maintained by the NH Department of Resources and Economic Development, Division of Forest and Lands, in the amount of $127,500. Effective upon G&C approval through June 30, 2003.

#97 Authorized to enter into a retroactive sole source maintenance agreement with Neopost Inc., Burlington, MA, to provide maintenance and postage updates for all Neopost mailing equipment, in the amount of $7,582.20. Effective from August 1, 2002 through June 30, 2003.

#104 Authorized agreement with Division of Fire Safety/Office of Emergency Management in enter into a sole source contract with Wright Communications Incorporated, for the purpose of radio installation and radio maintenance, in the amount of $35,000.00. Effective upon G&C approval through June 30, 2003.

#105 Authorized Division of Fire Safety/Office of Emergency Management to accept and expend a Pre-Disaster Mitigation Grant from the Federal Emergency Management Agency for the purpose of developing cost effective hazard mitigation activities that complement a comprehensive mitigation program, in the amount of $279,234. Effective upon G&C approval through February 1, 2004.

#106 Authorized Division of Motor Vehicles to extend an existing snow plowing agreement with Grounds Care Unlimited of Greenland, NH. The total cost is $19,600.00 for two years to be encumbered as detailed in item. Effective upon G&C approval through June 30, 2004

#107 Authorized Division of State Police to enter into a contract with R&W Cleaning Inc, Manchester, NH. Troop D is moving to Airport Rd and they require cleaning services for their new facility, in the amount of $12,900.00. Effective upon G&C approval through June 30, 2004. #114 Authorized to enter into an Agreement with the North Country Council, Bethlehem, NH, to undertake the NH 25 Access Management Study in the Town of Plymouth, NH, for a fee not to exceed $23,600.00. Effective upon G&C approval through October 31, 2003.

#115 Authorized an increase in the price of the referenced contract with Scherbon Consolidated Inc, Amesbury, MA, for unplanned additional work, in the amount of $10,000.00 from $27,020.00 to $37,020.00

#116 Authorized to extend two contract agreements with TransCore LP, Hummelstown, PA, for toll collection software and equipment and maintenance of the toll collection software, for a total not to exceed $1,316,430.00. Funding as detailed in item. Further Authorized that a contingency in the amount of $131,642.00 be approved for the payment of additional work.

#117 Authorized to increase the contingency for a contract with Andrews Construction Co Inc, Campton, NH, (previously approved by G&C on 5-9-01, item #203), by $155,039.01 for an original contract encumbrance of $745,354.50. Further Authorized to increase referenced contingency amount by $155,039.01 to $222,798.51 and to revise contract encumbrance to $900,393.51 for construction of wetland mitigation in advance of the impacts associated with the future widening of I-93 from Salem to Manchester.

#118 Authorized The Bureau of Highway Maintenance to increase referenced contract with Capital Well Co Inc, Dunbarton, NH, to allow completion of a replacement water supply on the property of Roland Cormier, Laconia, NH, in the amount of $2,600.00. This increases the original contract from $20,860.00 to a new contract total of $23,460.00. Effective upon G&C approval.

#119 Authorized The Bureau of Highway Maintenance to increase in referenced contract with Larry G Cushing & Sons Inc, Walpole, NH, to allow completion of a replacement water supply on the property of Another Place Inc, Greenville, NH, in the amount of $2,900.00. This increases the original contract from $12,598.00 to an new contract total of $15,498.00. Effective upon G&C approval.

#120 The Governor and Council on motion of Councilor Burton, seconded by Councilor Spaulding, with Councilor Griffin, Councilor Wieczorek and Councilor Wheeler voting no, failed to authorize The Bureau of Construction to approve referenced contract with George R Cairns & Sons Inc, Londonderry, NH, for pavement widening and rehabilitation, drainage construction and waterline construction beginning at the US Route 302 and NH Route 16 intersection in North Conway proceeding to US Route 302 and NH Route 16 Intersection with Artist Falls Rd, also included are signal upgrades and capacity improvements to four intersections, total cost of $5,734,477.93. Effective upon G&C approval through October 1, 2003.
