GOVERNOR AND EXECUTIVE COUNCIL MINUTES

The Governor and Executive Council convened at 10:00 a.m. with all members present.

The Governor and Executive Council on motion of Councilor Spaulding, seconded by Councilor Burton, accepted the minutes of June 2, 2004.

The Governor and Executive Council on motion of Councilor Wheeler, seconded by Councilor Burton, voted to amend the minutes of March 24, 2004 Governor and Council meeting to reflect that:

Frank C. Guinta of Manchester as being appointed to the Assessing Standards Board representing a municipal governing body official for a city rather than representing the municipal official of a town.

The Governor and Executive Council, on motion of Councilor Wheeler, seconded by Councilor Wieczorek approved the appointment of several persons nominated for Civil Commissions from the June 2, 2004 meeting.

The Governor placed in nomination the several persons who applied for Civil Commissions.

BUSINESS FINANCE AUTHORITY

#1 The Governor and Executive Council on motion of Councilor Wieczorek, seconded by Councilor Wheeler and further on a roll call vote as follows: Councilor Burton – yes, Councilor Spaulding – yes, Councilor Griffin – yes, Councilor Wieczorek – yes, and Councilor Wheeler – yes, Authorized to hold a Public Hearing to approve an award of a State Guarantee under RSA 162-A:13-a with respect to a loan from Bank of New Hampshire to Allen & Mathewson Energy Corporation in Rindge, New Hampshire. Action will Authorized a Resolution under RSA 162-I:18 to determine the financing will serve a public use, provide public benefit and is within the policy and authority of the Act.

COUNCIL CHAMBER, CONCORD, NEW HAMPSHIRE

At approximately 10:20 a.m., the Governor announced that the next matter to be considered would be the award of a State guarantee under the Working Capital Line of Credit Guarantee Program of the Business Finance Authority in connection with a loan to be made by Bank of New Hampshire to Allen & Mathewson Energy Corporation, and declared that the public hearing on the subject had commenced. He said that he and the members of the Council had received written material from the Authority with respect to the proposed loans and State guarantee. The Governor then said that the meeting would hear anyone wishing to speak on the subject and introduced Michael Donahue, Senior Credit Officer of the Authority who briefly explained the project. The Governor then repeated that the proceedings were a public hearing and asked whether any other person wished to speak; there being none, Councilor Wieczorek introduced a resolution entitled “A RESOLUTION UNDER RSA 162-A:18 AWARDING A STATE GUARANTEE UNDER RSA 162-A:13 WITH RESPECT TO A LOAN FROM BANK OF NEW HAMPSHIRE TO ALLEN & MATHEWSON ENERGY CORPORATION.” and moved its adoption, which was seconded by Councilor Wheeler. There being no discussion, the Governor called for a vote on the motion. Those voting in favor were: The Governor and Councilor Burton, Councilor Spaulding, Councilor Griffin, Councilor Wieczorek and Councilor Wheeler; those abstaining were Councilor(s): None; and those voting against were Councilor(s): None. The Governor declared that the resolution was passed.

A RESOLUTION UNDER RSA 162-A:18
AWARDING A STATE GUARANTEE UNDER RSA 162-A:13-a
WITH RESPECT TO A LOAN FROM
BANK OF NEW HAMPSHIRE TO ALLEN & MATHEWSON ENERGY CORPORATION.

WHEREAS, the Governor and Council (the "Governor and Council") of the State of New Hampshire (the "State") have received from the Business Finance Authority of the State of New Hampshire (the "Authority") its written recommendation that the Governor and Council make certain findings and determinations pursuant to RSA 162-A:18 with respect to the award of a guarantee of the Authority in an amount equal to thirty (30%) of the principal amount of a loan up to $500,000 from Bank of New Hampshire to Allen & Mathewson Energy Corporation, pursuant to RSA 162-A:13-a (the Working Capital Loan Guarantee Program or the "WAG Program");

WHEREAS, the proposed guarantee would require the pledge of the full faith and credit of the Authority in an amount not to exceed thirty percent (30%) of the proposed financing;

WHEREAS, pursuant to the provisions of RSA Chapter 162-A, the Governor and Council is Authorized to approve the recommendation of the Authority and to award the recommended guarantee upon the making of specific findings after public hearing;

WHEREAS, the Governor and Council have received all the documentation and information with respect to the proposed award of the Authority's guarantee which they have requested; and

WHEREAS, further action by the Authority with respect to the proposed transaction is subject to the passage of this resolution and cannot be taken until after its passage;

NOW, THEREFORE, IT IS HEREBY RESOLVED THAT:

1. Findings and Determinations. On the basis of the documentation and information received by the Governor and Council, and after a public hearing, the Governor and Council find:

(a) Special Findings.

(i) The award of the guarantee as proposed will contribute significantly to the success of the financing.

(ii) Reasonable and appropriate measures have been taken to minimize the risk of loss to the Authority and to ensure that any private benefit from the award of the guarantee will be only incidental to the public purpose served thereby.

(b) General Findings.

(i) The award of the guarantee as proposed will serve a public use and provide a public benefit.

(ii) The award of the guarantee as proposed is within the policy of, and the authority conferred by RSA Chapter 162-A.

(iii) The award of the guarantee as proposed will preserve or increase the social welfare or economic prosperity of the state and one or more of its political subdivisions, and will promote the general welfare of the state's citizens.

(iv) The award of the guarantee as proposed will promote the orderly development of business activities, create or preserve employment opportunities, or protect the physical environment.

2. Approval. The Governor and Council approve the Authority's taking such further action under the Act with respect to the award of the guarantee as may be required and Authorized the Authority to take such further action with respect to such proposed execution as is necessary and appropriate to carry out the proposed transaction.

3. Effective Date. This resolution shall take effect upon its passage.

OFFICE OF ENERGY AND PLANNING

The Governor and Council acted as follows:

#3 Authorized to accept and expend a $500 donation from the Home Builders and Remodelers Association of New Hampshire, 119 Airport Road, Concord, NH, effective upon G&C approval. This donation is in support of the 11 th annual Spring Planning and Zoning Conference, held May 8, 2004 in Manchester.

#4 Authorized to accept and expend $25,000 from the US Department of Energy for the Regional Weatherization One-on-One Site Training program, to provide oversight of Weatherization training to a contractor across DOE Region I. Effective upon G&C approval through September 30, 2004. The funds should be budgeted as shown in the schedule dated June 9, 2004. 100% Federal Funds

#5 Authorized to amend an existing agreement with Strafford Regional Planning Commission, 2 Ridge Street, Suite 4, Dover, NH (initially approved by G&C on 12/17/2003, item #9) for the purpose of extending the project’s end date from December 31, 2004 to June 30, 2005. Through this project the Isinglass River Local Advisory Committee is conducting education, outreach, and watershed planning.

#6 Authorized to amend an existing agreement with Antioch University, d/b/a Antioch New England Graduate School, 40 Avon Street, Keene, New Hampshire (initially approved by G&C on 7/16/2003, item #9), by changing the completion date from June 30, 2004 to September 30, 2004, due to additional time needed for research and development. Funds for this project are 100% federal, and no additional state or federal funds are required by this action.

#7 Authorized DRED to amend an existing memorandum of agreement with OEP for the purposes of continuing to complete work tasks associated with the Statewide Comprehensive Outdoor Recreation Plan by changing the end date from June 30, 2004 to June 30, 2005. This is a time extension only. No additional funds are required.

#8 NOT USED

#9 Authorized to enter into an agreement with the Town of Candia, PO box 164, Candia, NH in the amount of $3,505, effective upon G&C approval to December 31, 2004, to conduct a resident well survey and complete land protection workshops in Candia. Funds are available in Account #010-002-3671-03-092-0415, Job #02P28003, and are 100% Federal Funds.

#10 Authorized to enter into contract with R.J. Karg Associates, 220 Meadow Road, Tophsam, Maine for the period of G&C approval through March 31, 2005 in an amount not to exceed $30,000 chargeable to Account #010-002-6510-097-0415, JOB #02727700, $24,975 and Account #010-002-6510-094-0415, JOB #02747100, $5,025. This contract will provide funding for continued on-site training for Weatherization Program installation crews and contractors. 100% Federal Funds

#11 Authorized to enter into an agreement with the City of Somersworth, One Government Way, Somersworth, NH in the amount of $6,600, effective upon G&C approval through December 31, 2004 to conduct community planning and establish a volunteer water quality monitoring program. These funds are available in Account #010-002-3642-03-092-0415, Job# 02P21303 and are 100% federal.

#11A Authorized with Councilor Wheeler voting no, to continue an Assistant Planner position through June 30, 2005, as specified in letter dated June 16, 2004. Fiscal committee approved.

COMMUNITY DEVELOPMENT FINANCE AUTHORITY

The Governor and Council acted as follows:

#12 Authorized to enter into an agreement with the City of Berlin, 168 Main Street, Berlin, NH in the amount of $500,000 for the purpose of assisting the expansion of a private company, upon date of G&C approval until December 31, 2005.

#13 Authorized to enter into an agreement with the Town of Bristol, 230 Lake Street, Bristol, NH, in the amount of $12,000 for the purpose of studying the Town’s wastewater facility, effective upon G&C approval until March 31, 2005.

#14 Authorized to amend an existing agreement with the Town of Madbury, 13 town Hall Road, Madbury, NH to upgrade the wastewater infrastructure for the Bunker Lane Condominium; a tenant owned 51 unite mobile home park, (initially approved by G&C on 2/5/2003, item #2), by increasing the funding level for the project by $210,550 for a total of $421, 100, and extending the end date from June 30, 2004 to June 30, 2005.

#15 Authorized to amend an existing agreement with Grafton County, 3801 Dartmouth College Highway, N Haverhill, NH to provide training and technical assistance to micro businesses on a statewide basis through MicorCredit/New Hampshire, in the amount of $470,000 for a new agreement total of $940,000. (Original agreement approved by G&C on 8/13/2003, item #202.

#16 Authorized to amend an existing agreement with the City of Keene, 3 Washington St., Keene, NH for the purpose of assisting Southeastern Community Services in the development of “The Highlands” affordable housing (initially approved by G&C on 1/7/2004, item #10), by increasing the price limitation by $500,000 for a new total of $1,000,000.

#17 Authorized to amend an agreement with Grafton County, 3801 Dartmouth College Highway, N Haverhill, NH, to provide grants and low interest loans to low and moderate income households, by extending the completion date from June 30, 2004 to June 30, 2005. (Initially approved by G&C on 9/19/2001, item E and 7/16/2003, item #4). No additional state or federal funds are required by this action.

#18 Authorized to amend an existing agreement with the Town of Winchester, 1 Richmond Road, Winchester, NH for the purpose of replacing substandard water mains, (initially approved by G&C on 12/18/2002, item #12), by extending the end date from June 30, 2004 to June 30, 2005. No additional federal funds are required by this action.

#19 Authorized to retroactively amend an existing agreement with the Town of Troy, 16 Central Square, Troy, NH (initially approved by the G&C on 2/19/2003, item #7), for the purpose of upgrading municipal water and sewer systems, by extending the end date from December 31, 2003 to December 31, 2004. No additional federal funds are required by this action.

ADJUTANT GENERAL

The Governor and Council acted as follows:

#20 Authorized to establish one Environmentalist II and one Environmental Technician I position through September 30, 2004, as specified in letter dated May 20, 2004. (2) Authorized to accept and expend additional federal funds in the amount of $17,466 from the federal government (National Guard Bureau) as part of the five-year Federal-State Master cooperative Agreement in support of the NH Army National Guard Environmental program for the period from July 1, 2004 through September 30, 2004. Fiscal Committee Approved

#316 Authorized to enter into an amended sole source agreement with Maximus Inc., Wayne, PA, (previously approved by G&C on 1-6-99, item #122), for Control Software Incorporated Maximus Inc has purchased CSI and has assumed all responsibilities and obligations because the required maintenance services are not available from any other source, increasing the amount by $65,640.95 from $90,837.75 to a new price limitation of $156,478.70 and to extend the completion date to June 30, 2007, through annually renewable options.

#317 Authorized agreement with Waste Management of NH of Hampton, NH, for the purpose of providing container rental and rubbish disposal services at the six locations as detailed in letter dated May 7, 2004. Effective July 1, 2004 or upon G&C approval, whichever is later, through June 30, 2006.

#318 Authorized Bureau of Highway Maintenance to enter into an agreement with Sunrise Waste Disposal, Surry, NH, for the purpose of providing rubbish disposal services at 13 District 04 Patrol Buildings and the Antrim Rest Area, totaling $36,130. Effective July 1, 2004 or upon G&C approval, whichever is later, through June 30, 2006 pending availability of funds for fiscal year 2006, and provided the Department and the Contractor mutually agree, this service and contract agreement may be renewed with no change in the terms of the agreement for no longer than two years, subject to G&C approval.

DEPARTMENT OF ENVIRONMENTAL SERVICES

H. Approved Carol and Richard Decola’s request to permanently remove 650 square feet of rock fill and 378 square feet of decking from the lakebed to restore the natural shoreline behind the excavated dock and fill area. Fill 584 square feet to construct 44 linear feet of breakwater, in an “I” configuration, with a 7 foot gap at the shoreline and a 4 foot x 30 foot permanent piling piers by a 6 foot x 45 foot walkway in “W” configuration. Install two personal watercraft lifts in one of the constructed slips. Temporarily remove the existing boathouse, excavate the existing 9-foot wide dug in slip to 12 foot wide and reconstruct the retaining wall and replace boathouse in kind with no changes in dimensions. Expand the existing 3-foot by 20-foot permanent dock to 4 foot by 25 foot and relocate the docking structure over the existing rock breakwater. Excavate 760 square foot to construct a 567 square foot perched beach with 6foot wide access stairs to the water body on property located at Governor’s Island on Lake Winnipesauke in Gilford. Project is justified due to significant wave activity.
