The Governor and Executive Council convened at 10:30 a.m. with all members present

The Governor and Executive Council on motion of Councilor Spaulding, seconded by Councilor Wheeler accepted the minutes of April 16, 2003.

The Governor and Executive Council, on motion of Councilor Spaulding, seconded by Councilor Burton, confirmed the appointment of several persons nominated for Civil Commissions from the April 16, 2003 meeting.

#1 The Governor and Executive Council on motion of Councilor Spaulding, seconded by Councilor Griffin and further on a roll call vote as follows: Councilor Burton - yes, Councilor Spaulding - yes, Councilor Griffin - yes, Councilor Wieczorek - yes, and Councilor Wheeler - yes, Authorized to hold a Public Hearing to approve an award of a State Guarantee under RSA 162-A:13-a with respect to a loan from Bank of New Hampshire to Smart Associates Environmental Consultants, Inc., in Concord, New Hampshire. Action will Authorized a Resolution under RSA 162-I:18 to determine the financing will serve a public use, provide public benefit and is within the policy and authority of the Act.

GOVERNOR AND COUNCIL HELD ON MAY 7, 2003
COUNCIL CHAMBER, CONCORD, NEW HAMPSHIRE

At approximately 11:00 a.m., the Governor announced that the next matter to be considered would be the award of a State guarantee under the Working Capital Line of Credit Guarantee Program of the Business Finance Authority in connection with a loan to be made by Bank of New Hampshire to Smart Associates Environmental Consultants, Inc. and declared that the public hearing on the subject had commenced. He said that he and the members of the Council had received written material from the Authority with respect to the proposed loans and State guarantee. The Governor then said that the meeting would hear anyone wishing to speak on the subject and introduced Michael Donahue, Senior Credit Officer of the Authority who briefly explained the project and introduced Roger LaFlamme, Vice President of Bank of New Hampshire and Melissa Smart of Smart Associates Environmental Consultants, Inc. The Governor then repeated that the proceedings were a public hearing and asked whether any other person wished to speak; there being none, Councilor Spaulding introduced a resolution entitled "A RESOLUTION UNDER RSA 162-A:18 AWARDING A STATE GUARANTEE UNDER RSA 162-A:13 WITH RESPECT TO A LOAN FROM BANK OF NEW HAMPSHIRE TO SMART ASSOCIATES ENVIRONMENTAL CONSULTANTS, INC." and moved its adoption, which was seconded by Councilor Griffin . There being no discussion, the Governor called for a vote on the motion. Those voting in favor were: The Governor and Councilor Burton, Councilor Spaulding, Councilor Griffin, Councilor Wieczorek, and Councilor Wheeler; those abstaining were Councilor(s): None; and those voting against were Councilor(s): None. The Governor declared that the resolution was passed.

A RESOLUTION UNDER RSA 162-A:18
AWARDING A STATE GUARANTEE UNDER RSA 162-A:13-a
WITH RESPECT TO A LOAN FROM
BANK OF NEW HAMPSHIRE TO
SMART ASSOCIATES ENVIRONMENTAL CONSULTANTS, INC.

WHEREAS, the Governor and Council (the "Governor and Council") of the State of New Hampshire (the "State") have received from the Business Finance Authority of the State of New Hampshire (the "Authority") its written recommendation that the Governor and Council make certain findings and determinations pursuant to RSA 162-A:18 with respect to the award of a guarantee of the Authority in an amount equal to seventy-five percent (75%) of the principal amount of a loan up to $500,000 from Bank of New Hampshire to Smart Associates Environmental Consultants, Inc. pursuant to RSA 162-A:13-a (the Working Capital Loan Guarantee Program or the "WAG Program");

WHEREAS, the proposed guarantee would require the pledge of the full faith and credit of the Authority in an amount not to exceed seventy-five percent (75%) of the proposed financing;

WHEREAS, pursuant to the provisions of RSA Chapter 162-A, the Governor and Council is Authorizedd to approve the recommendation of the Authority and to award the recommended guarantee upon the making of specific findings after public hearing;

WHEREAS, the Governor and Council have received all the documentation and information with respect to the proposed award of the Authority's guarantee which they have requested; and

WHEREAS, further action by the Authority with respect to the proposed transaction is subject to the passage of this resolution and cannot be taken until after its passage;

NOW, THEREFORE, IT IS HEREBY RESOLVED THAT:

1. Findings and Determinations. On the basis of the documentation and information received by the Governor and Council, and after a public hearing, the Governor and Council find:

(a) Special Findings.

(i) The award of the guarantee as proposed will contribute significantly to the success of the financing.

(ii) Reasonable and appropriate measures have been taken to minimize the risk of loss to the Authority and to ensure that any private benefit from the award of the guarantee will be only incidental to the public purpose served thereby.

(b) General Findings.

(i) The award of the guarantee as proposed will serve a public use and provide a public benefit.

(ii) The award of the guarantee as proposed is within the policy of, and the authority conferred by RSA Chapter 162-A.

(iii) The award of the guarantee as proposed will preserve or increase the social welfare or economic prosperity of the state and one or more of its political subdivisions, and will promote the general welfare of the state's citizens.

(iv) The award of the guarantee as proposed will promote the orderly development of business activities, create or preserve employment opportunities, or protect the physical environment.

2. Approval. The Governor and Council approve the Authority's taking such further action under the Act with respect to the award of the guarantee as may be required and Authorized the Authority to take such further action with respect to such proposed execution as is necessary and appropriate to carry out the proposed transaction.

3. Effective Date. This resolution shall take effect upon its passage.

OFFICE OF STATE PLANNING
The Governor and Council acted as follows:

#2 Authorized to enter into an agreement with the Town of Winchester, NH, under the Community Development Block Grant Program for the purpose of assisting the expansion of a private company, in the amount of $400,000. Effective upon G&C approval through December 31, 2004. 100% Federal Funds.

#3 Authorized to enter into an agreement with the US Gulf of Maine Association, c/o Massachusetts Coastal Zone Management, Boston, MA, to translate marine scientific research into understandable terminology under the provisions of the NH Coastal Program, in the amount of $10,000. Effective upon G&C approval through December 31, 2003. 100% Federal Funds.

#4 Authorized to amend an existing memorandum of agreement with the Department of Transportation, (previously approved by G&C on 9-19-01, item #7), for the purpose of extending the end date from June 30, 2003 to December 31, 2003 to allow increased number of workshops to be scheduled.

OFFICE OF THE ADJUTANT GENERAL
The Governor and Council acted as follows:

#5 Authorized Nicole L Desilets-Bixler, Hampton, NH, be confirmed to the rank of Lieutenant Colonel, NH Air National Guard.

DEPARTMENT OF ADMINISTRATIVE SERVICES
The Governor and Council acted as follows:

#8 Authorized to accept and place on file a report containing a list of vendors that agencies have contracted with for the period of October 1, 2002 through December 31, 2002, as detailed in letter dated April 16, 2003.

#9 Authorized Bureau of General Services to accept one memorial tree from the Department of Education to be planted on the grounds of Londergan Hall in Concord, NH.

#10 Authorized Bureau of Risk Management to enter into an agreement with A.D. Davis Insurance, to purchase property insurance for State owned property at a cost of $193,058.06. Effective May 1, 2003 through May 1, 2004 and allows the State to negotiate renewal terms for up to two additional years. 100% General Funds.

#11 Authorized a sole source contract with Energy Efficient HVAC Systems, LLC, Windham, NH, for HVAC Air Testing and Balancing services at the Rockingham County Court Building in Brentwood, NH, for a total amount not to exceed $24,410. Effective upon G&C approval through September 30, 2003. 100% Other Funds.

#12 Authorized a sole source contract with Siemens Building Technologies, Inc, Falmouth, ME, for HVAC control services at the Rockingham County Court Building in Brentwood, NH, for an amount not to exceed $9,000. Effective upon G&C approval through September 30, 2003. 100% Other Funds.

#13 Authorized Bureau of Court Facilities to enter a two-year lease agreement with Belknap County, Laconia, NH, as detailed in letter dated April 9, 2003, covering office and courtroom spaced located in Laconia, NH, in the amount of $481,168.80. Effective July 1, 2003 through June 30, 2005. (2)Further Authorized to waive compliance with RSA 10:B. The non-budgeted financial burden imposed on the state to test and comply with RSA 10:B in obtaining a clean air certificate is beyond the resources of the agency and the county. 100% Other Funds.

#14 Authorized Bureau of Court Facilities to enter a two-year lease agreement with Grafton County, N Haverhill, NH, as detailed in letter dated April 9, 2003, covering office and courtroom spaced located in N Haverhill, NH, in the amount of $540,006.72. Effective July 1, 2003 through June 30, 2005. 100% Other Funds.

#15 Authorized to enter a sole source agreement with Envirotech Clean Air, Inc., Stoneham, MA, for mold remediation services in specific areas of the Rockingham County Courthouse, for $73,000. Effective upon G&C approval through December 31, 2003. 100% Other Funds.

TREASURY DEPARTMENT
#16 The Governor and Executive Council on motion of Councilor Wieczorek, seconded by Councilor Spaulding authorized to issue a warrant from funds not otherwise appropriated and the State Treasurer to issue checks in the amount of $33,688.63 to the rightful owners of abandoned or unclaimed funds that have escheated to the general fund.

DEPARTMENT OF STATE
#17 The Governor and Executive Council on motion of Councilor Burton, seconded by Councilor Wieczorek authorized the Department of State, Division of Records Management and Archives to establish a Program Specialist I position through June 30, 2003, as specified in letter dated April 16, 2003. 100% Federal Funds.

DEPARTMENT OF AGRICULTURE, MARKETS & FOOD
#18 The Governor and Executive Council on motion of Councilor Wheeler, seconded by Councilor Wieczorek authorized retroactive approval to expend funds for the organized training sessions entitled, Integrated Pest Management Speaker Seminar, which were held on March 19, 2003 at the Sheraton Wayfarer Inn, Bedford NH, in the amount of $3,811.81. (2)Further Authorized to expend funds in support of the IPM Speaker Seminars noted above as detailed in letter dated April 23, 2003, summarized as follows: $580.13 for seminar facility and food services; $3,231.68 presenter speaking fee, travel and other expenses associated with speaking at the IPM Speaker Seminars. 100% Other Funds.

DEPARTMENT OF CULTURAL RESOURCES
The Governor and Council acted as follows:

#19 Authorized Division of Libraries to accept a donation of 1,100 canvas book bags from Easter Seals New Hampshire valued at $3,000.

#20 Authorized Division of Libraries to accept and expend donations from the Cogswell Benevolent Trust, Manchester, NH, and New Hampshire Library Association, North Hampton, NH, with funds made available from Verizon Communications, Manchester, NH, in the amount of $6,500 for the Summer Reading Experience with the budget as indicated in letter dated April 19, 2003.

#21 Authorized Division of Historical resources to award a federally funded historic barn restoration grant to Ruth Albert, Kingston, NH, in the amount of $4,225.

ATTORNEY GENERAL
The Governor and Council acted as follows:

#22 Authorized to retroactively reappoint Dr. Jennie V. Duval as Deputy Chief Medical Examiner for a five-year term. Effective January 28, 2003 through January 28, 2008.

#23 Authorized to accept and expend additional grant funds in the amount of $90,000 from the Federal Office of Victims of Crime, to supplement a victim compensation program to provide assistance to innocent victims of crime with financial losses due to personal injury. Effective upon G&C approval through September 30, 2005. 100% Federal Funds.

#24 Authorized to enter into a sub-grant with the Administrative Office of the Courts to support Domestic and Sexual Violence Training. Effective upon G&C approval through December 31, 2003. 100% Federal Funds.

EMPLOYMENT SECURITY
#25 The Governor and Executive Council on motion of Councilor Wieczorek, seconded by Councilor Burton authorized to expend available federal funds payable to US Department of Labor, Veterans Employment and Training Service in reimbursement of VETS facilities and administrative support costs incurred in the operation of the VETS state office, Concord, NH, estimated monthly is $2,000 effective October 1, 2003, through September 30, 2005 for an estimated two-year total of $48,000. 100% Federal Funds.

DEPARTMENT OF LABOR
#26 The Governor and Executive Council on motion of Councilor Griffin, seconded by Councilor Burton authorized to host and conduct a five-day conference at the North Conway Grand Hotel, North Conway, NH, scheduled for June 1-5, 2003, entitled Eastern Seaboard Apprenticeship Conference on "Reaching New Heights" at a cost not to exceed $93,054. (2)Further Authorized to accept and expend funds in support of the conference as noted above, totaling $128,500 and summarized as follows: Registration fees of $275 for 300 delegates, for at total of $82,500 monies raised from ads, $21,550; sponsored seed money, $5,000; and donations totaling $19,450; to defray the cost of the conference. Effective upon G&C approval through September 30, 2003. 100% Other Funds.

INSURANCE DEPARTMENT
#27 The Governor and Executive Council on motion of Councilor Burton, seconded by Councilor Wieczorek authorized to retroactively amend an agreement with Dr. Paul Snow of Laconia, NH, (previously approved by G&C on 3-20-02, item #43), by extending the end date from February 28, 2003 to June 30, 2003, for the provision of consulting services in development, creation, analysis and mechanisms intended to enhance the ability of the Insurance Department to respond to consumer complaints, legislative inquiries and to assist the Department in working with employers and carriers.

JOINT BOARD OF LICENSURE AND CERTIFICATION
#28 The Governor and Executive Council on motion of Councilor Burton, seconded by Councilor Wheeler authorized to expend $10,500 collected from the Principles and Practices of Engineering and Land Surveying Examinations and the Fundamentals of Engineering and Land Surveying Examinations for direct expenses of these examinations. General Fund.

NEW HAMPSHIRE BOARD OF ACCOUNTANCY
The Governor and Council acted as follows:

#29 Authorized to amend an existing agreement with Jeffrey Graham, CPA of Graham & Graham, Springfield, VT, for investigating complaints of alleged fraud and abuse, increasing the price limitation by $4,000 from $2,000 to $6,000. Effective upon G&C approval through June 30, 2003. General Funds.

#30 Authorized to amend an existing agreement with Kevin Mielke, dba Avicore Reporting, Manchester, NH, for hearing transcription services, increasing the price limitation by $5,000 from $1,065 to $6,065. Effective upon G&C approval through June 30, 2003. General Funds.

NEW HAMPSHIRE REAL ESTATE COMMISSION
#31 The Governor and Executive Council on motion of Councilor Spaulding, seconded by Councilor Wheeler authorized to accept and expend additional real estate examination fee revenue in the amount of $40,000 from real estate license applicants with the budget as detailed in letter dated April 23, 2003. Effective upon G&C approval through June 30, 2003.

LIQUOR COMMISSION
#32 The Governor and Executive Council on motion of Councilor Wieczorek, seconded by Councilor Burton authorized to transfer $99,676 as specified in their letter dated April 16, 2003. Fiscal Committee approved. 100% General Funds.

DEPARTMENT OF CORRECTIONS
The Governor and Council acted as follows:

#33 Authorized yearly increment for Jane Coplan, Warden, NH State Prison, Concord, NH, increasing her salary from unclassified Group II, Step IV, $84,670 yearly to Group II, maximum step, $89,128 effective June 12, 2003, her yearly anniversary date.

#34 Authorized to pay $181,632 in overtime for permanent personnel services out of salaries for vacant positions due to pending recruitment for the period July 1, 2002 through February 28, 2003. 100% General Funds.

#35 Authorized to accept a donation of surplus Simplex Fire Alarm Equipment from Simplex Fire Alarm Equipment, to aid in keeping our system operational. The approximate value of this donation is $5,000-$8,000.

#36 Authorized to accept a donation of two audio tapes entitled "Honoring Our Ways, Prayer and Honoring Songs of Dine Nation" and "An Historical Album of Blackfoot Indian Music" from Mrs. Yvonne Benoit. The approximate value of this donation is $21.96.

#37 Authorized to accept a donation of various sewing materials, notions and books, as detailed in letter dated April 15, 2003. The approximate value of this donation is $1,645.

#38 Authorized to expend an amount not to exceed $175,000 from the Correctional Industries Revolving Account to purchase equipment and equipment-related items, as specified in letter dated April 16, 2003. Fiscal Committee approved. 100% Revolving Funds.

#39 Authorized to enter into an amendment to a memorandum of agreement with the Department of Health and Human Services, Division for Juvenile Justice Services, Manchester, NH, to provide prescriptions and pharmaceutical consulting services, increasing the agreement cost by $21,363 from $93,861 to $115,224 for FY 2003 for a new grand total of $232,860. (2)Further Authorized to accept and expend $21,363 from the Department of Health and Human Services, Division of Juvenile Justice Services, and Manchester, NH. The Governor and Council acted as follows:

#40 Authorized Bureau of Ski Operations to submit season passes issued for Cannon Mountain for the quarter ending March 31, 2003, as detailed in letter dated April 14, 2003. Informational Item.

#41 Authorized to award a grant under the Economic Development Matching Grants Program, to the City of Claremont, for Marketing Industrial Parks to the World, in the amount of $15,000. Effective upon G&C approval through April 3, 2004. 100% General Funds.

#42 Authorized Divisions of Parks and Recreation to accept a donation of three automatic external defibrillators and two suction units, valued at $5,500 from the North Country Health Consortium, Littleton, NH.

#43 Authorized Division of Forests and Lands to enter into a contract with Peter N Everts, West Barnet, VT, for boundary line maintenance work at the Nash Stream Forest, in the amount of $3,225. Effective upon G&C approval through August 31, 2003. 100% Other Funds.

#44 Authorized Division of Forests and Lands and NH Fish and Fame to enter into a memorandum of agreement, for the purpose of conducting an ecological inventory and assessment of the Connecticut Lakes Headwater Natural Area, in the amount of $35,000. (2)Further Authorized to accept and expend funds received from NH Fish and Game in support of the above noted memorandum of agreement in the amount of $35,000. B. FISH AND GAME DEPARTMENT
A. Authorized the New Hampshire Fish and Game Dept. to enter a sole source memorandum of agreement with Macro International, Inc. of Burlington, VT for the period from Governor and Council approval through Jan. 31 2004 to receive an est. $18,187.96 for services performed in conducting Marine Recreational Angling Intercept Surveys in NH.

B. Authorized the New Hampshire Fish and Game to enter into a sole-source contract with John Brown & Sons, Inc. of Weare, NH in the amount of $12,000.00 to conduct habitat enhancement for Federal and State endangered Karner blue butterfly at the Concord Municipal Airport. The contract period will be from Governor and Executive Council approval through Jan. 31, 2004.

C. Authorized the New Hampshire Fish and Game to expend $70,480.00 in cooperative fencing grants to qualifying commercial agriculturist as identified on the attached list. Eligibility will be from Governor and Council approval through May 30, 2004.

DEPARTMENT OF ENVIRONMENTAL SERVICES
D. Authorized the NH DES to enter into a contract with La Capra Assoc. in the amount of $24,480.00 to provide litigation support services effective from Governor and Council approval Dec. 31, 2003 (2) Authorized DES under RSA 481:3 VI, to accept and expend additional funds from water user in the amount of $24,380.00 in FY2003.

DEPARTMENT OF RESOURCES AND ECONOMIC DELVELOPMENT
E. Authorized the Fish and Game Dept. to enter into a Memorandum of Agreement with DRED in the amount of $88,000 for the period from Governor and Council approval through June 30, 2004 for the purpose of updating the NH Natural Heritage rare species and exemplary natural community database. (2) Authorized DRED to accept and expend funds received from Fish and Game in support of the above noted Memorandum of Agreement in the amount of $88,000.00 for the period from Governor and Council approval through June 30, 2004.

DEPARTMENT OF CORRECTIONS
F. Authorized the NH Department of Corrections to establish one full-time temporary Program Assistant II position and one part-time temporary Program Assistant II position effective upon Fiscal Committee and Governor and Council approval through February 29, 2004. These positions are in support of the acceptance of funds for a Family Connections Grant program to provide services to children whose parents are incarcerated.
